These Terms of Service ("Terms") govern your access to and use of the website at immersivle.com (the "Site") and the browser-based training platform, tools, and related services (collectively, the "Services") provided by Immersivle, Inc., a Delaware corporation ("Immersivle," "we," "us," or "our").

By accessing the Site or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

1. Eligibility

You must be at least 16 years old to use the Site or Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Account Registration

Certain features of the Services may require you to register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain and promptly update your information as necessary.
  • Keep your login credentials confidential and not share them with third parties.
  • Notify us immediately at privacy@immersivle.com if you suspect unauthorized access to your account.

You are responsible for all activity that occurs under your account.

3. Waitlist and Early Access

By joining our waitlist, you consent to receiving communications from us regarding early access opportunities, product updates, and related announcements. You may opt out at any time by using the unsubscribe link in any email or by contacting us at privacy@immersivle.com.

Joining the waitlist does not guarantee access to the Services. We reserve the right to grant or deny access at our sole discretion.

4. Acceptable Use

When using the Site and Services, you agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to any part of the Services, other users' accounts, or any systems or networks connected to the Services.
  • Use the lab environments to develop, test, or deploy malicious software, exploits, or attacks against any system other than the lab environment provided to you.
  • Attempt to circumvent, disable, or interfere with any security features of the Services, including session isolation, access controls, and monitoring systems.
  • Use automated tools, bots, or scripts to access or interact with the Services except where expressly permitted.
  • Reproduce, distribute, or publicly display any content from the Services without our prior written consent.
  • Interfere with or disrupt the integrity or performance of the Services or the experience of other users.
  • Reverse engineer, decompile, or disassemble any part of the Services.
  • Use the Services to mine cryptocurrency or run workloads unrelated to the training activities provided.
  • Share your lab session access with unauthorized individuals.

We reserve the right to suspend or terminate your access if you violate these Terms.

5. Lab Environments

The Services may provide you with access to browser-based lab environments for training and educational purposes. With respect to these environments:

  • Lab environments are provided solely for use in connection with Immersivle training activities.
  • Lab environments are temporary and may be terminated at the end of a session, upon expiration, or at our discretion.
  • Persistent storage, where provided, is offered as a convenience. We do not guarantee the availability, integrity, or durability of any data stored within lab environments. You are responsible for backing up any work you wish to retain.
  • We reserve the right to monitor lab environment usage for security, performance, and compliance purposes.
  • Resource allocations (CPU, memory, storage, session duration) are subject to fair use limits. We may restrict or terminate sessions that consume excessive resources or interfere with other users.

6. Intellectual Property

Our Content

The Site, Services, and all associated content — including but not limited to text, graphics, logos, course materials, lab configurations, software, and documentation — are the property of Immersivle, Inc. or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our content without our prior written consent.

Your Content

Any content you create within lab environments (code, configurations, files) remains yours. By using the Services, you grant us a limited, non-exclusive license to access and process your content solely for the purpose of delivering and improving the Services.

Feedback

If you provide us with feedback, suggestions, or ideas about the Site or Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

7. Third-Party Services

The Services may integrate with or rely on third-party services, including but not limited to Amazon Web Services, Cloudflare, and analytics providers. Your use of the Services is also subject to the terms and policies of these third-party providers. We are not responsible for the availability, accuracy, or practices of any third-party service.

8. Payment and Pricing

Access to certain features of the Services may require payment. If applicable:

  • Pricing, billing terms, and payment methods will be communicated to you prior to purchase.
  • All fees are non-refundable unless otherwise stated or required by applicable law.
  • We reserve the right to change pricing with reasonable notice.

Current waitlist and early access participation are provided at no cost.

9. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICES.

THE TRAINING ENVIRONMENTS AND MATERIALS PROVIDED THROUGH THE SERVICES ARE FOR EDUCATIONAL PURPOSES ONLY. THEY DO NOT CONSTITUTE PROFESSIONAL SECURITY ADVICE, CERTIFICATION, OR ASSURANCE THAT YOUR SYSTEMS OR CODE ARE SECURE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

  • IN NO EVENT SHALL IMMERSIVLE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
  • OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO IMMERSIVLE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS ($50.00).
  • THESE LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Immersivle, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Site or Services.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Any content you create, upload, or transmit through the Services.
  • Any unauthorized use of your account.

12. Termination

We may suspend or terminate your access to the Site or Services at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to access and use the Services ceases immediately.
  • We may delete your account data, lab environments, and associated content.
  • Provisions that by their nature should survive termination (including Sections 6, 9, 10, 11, 13, and 14) will survive.

You may terminate your account at any time by contacting us at privacy@immersivle.com.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in the State of Delaware. You consent to the personal jurisdiction of such courts and waive any objection to venue.

14. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Immersivle regarding the Site and Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Notices: We may provide notices to you via email to the address associated with your account or by posting on the Site.
  • Force Majeure: We are not liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet disruptions, or third-party service outages.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. If we make material changes, we will notify you by email or by posting a prominent notice on the Site prior to the change becoming effective. Your continued use of the Site or Services after changes take effect constitutes your acceptance of the updated Terms.
